Statut Pirátské internacionály (PPI)

Podepsán dne 18. dubna 2010 v Bruselu, Belgie.

Preambule

Pirátská internacionála existuje, aby pomáhala připravila, podpořila, rozšířila a udržela komunikaci a spolupráci mezi pirátskými stranami ve světě.

Pirátská internacionála není ani politická, ani úřední entita.

Úvodní ustanovení

I. Název

(1) Název sdružení je Pirátská internacionála (PPI).

(2) Sdružení je nevýdělečné. Práva a povinnosti sdružení a jeho členů jsou odděleny.

Úkoly a cíle

II. Cíle

(1) Cíle sdružení jsou:

  • a) jednat v souladu s hlavními zájmy a cíli svých členů,
  • b) vzbudit povědomí a rozšířit dosah pirátského hnutí a
  • c) sjednotit pirátské hnutí a posílit jeho vnitřní i vnější vazby.

(2) K dosažení těchto záměrů má sdružení mimo jiné:

  • a) zajistit a rozšířit komunikaci mezi členy sdružení,
  • b) napomáhat při zakládání nových pirátských stran,
  • c) organizovat a koordinovat celosvětové kampaně a události,
  • d) jednat jako prostředník při jakýchkoliv rozepřích mezi členy, pokud je o to sdružení požádáno,
  • e) sdílet informace a koordinovat výzkum v oblasti hlavních pirátských témat,
  • f) kontaktovat nevládní organizace, administrativy a mezinárodní organizace a
  • g) sloužit jako kontaktní centrum pro pirátské hnutí.

Členství

III. Členství

(1) Členy Pirátské internacionály se mohou stát strany nebo organizace jim příbuzné, které nemají za cíl účastnit se voleb.

(2) Počet členů není omezen, ale nesmí klesnout pod dva.

(3) Žádost o členství se podává písemně předsednictvu. Přihláška obsahuje kontaktní informace a usnesení o přijetí statutu a vnitřních předpisů sdružení a dále zakládající dokument, odvozené předpisy a politický program uchazeče a informace o jeho zázemí a organizaci. Předsednictvo předá přihlášku valnému shromáždění.

(4) Valné shromáždění má oprávnění udělit uchazeči podle svého uvážení některý z následujících typů členství v Pirátské internacionále

  • a) řádný člen,
  • b) člen pozorovatel.
IV. Řádní členové

(1) Řádní členové jsou zakládající členové a ti, které přijalo valné shromáždění podle oddílu III odst. 4. Způsobilost k řádnému členství mají členové, kteří

  • a) se řídí tímto statutem a cíli sdružení, které stanovuje tento statut,
  • b) ve svém názvu používají některý tvar slova „pirátský“ a
  • c) mají vnitřní řád uzpůsoben demokratickým zásadám.

(2) Ve sdružení může být jen jeden řádný člen z každé země.

(3) Valné shromáždění má oprávnění udělit členství v Pirátské internacionále kterékoliv pirátské straně, která souhlasí s principy sdružení a přistoupí k jejímu statutu a vnitřním předpisům.

(4) Řádní členové mají oprávnění

  • a) zasedat a hlasovat ve valném shromáždění,
  • b) nominovat kandidáty do všech orgánů sdružení a
  • c) podávat návrhy valnému shromáždění.
V. Členi pozorovatelé

(1) Uchazeči, který nesplňuje podmínky řádného členství, smí valné shromáždění udělit členství pozorovatele.

(2) Členové pozorovatelé mají oprávnění

  • a) zasedat ve valném shromáždění, ale bez hlasovacího práva,
  • b) nominovat kandidáty do všech orgánů sdružení a
  • c) podávat návrhy valnému shromáždění.
VI. Násobné přihlášky z jedné země

Pouze jedna organizace z každé země může být přijata za řádného člena Pirátské internacionály. Národní pirátská organizace může sestávat z několika pirátských stran, které se začlení do spolku na základě společného pirátského cíle. Tento spolek ručí za to, že všechny právnické osoby, které sdružuje, splňují požadavky tohoto statutu.

VII. Ukončení členství

(1) Každý člen smí kdykoliv vystoupit z Pirátské internacionály. Člen o svém rozhodnutí vyrozumí předsednictvo doporučeným dopisem. Členové, kteří vystoupí, mají povinnost splnit svoje finanční závazky ke sdružení za všechny předchozí roky.

(2) O pozastavení členství a vyloučení člena smí rozhodovat výlučně valné shromáždění. Návrh na vyloučení člena podává pouze předsednictvo nebo desetina členů ze tří různých světadílů.

(3) Členský vztah končí automaticky při rozpuštění, ztrátě způsobilosti, likvidaci nebo v případě dočasného správního nebo soudního vypořádání nebo úpadku. Členství rovněž zaniká automaticky, pokud člen přestal splňovat podmínky, které byly nezbytné k jeho původnímu přijetí za člena.

VIII. Rejstřík členů

Předsednictvo vede rejstřík členů Pirátské internacionály v ředitelství PPI. Tento rejstřík obsahuje název, právní formu, adresu sídla, totožnost zástupce a případně registrační číslo podle platných předpisů. Všichni členové smí do rejstříku nahlížet v sídle ředitelství PPI.

Valné shromáždění

IX. Valné shromáždění

(1) Valné shromáždění je nejvyšším tělesem Pirátské internacionály a sestává ze všech členů sdružení. Valné shromáždění se má scházet alespoň jednou ročně.

(2) Mimořádná zasedání se mohou konat na žádost třetiny členů nebo podle rozhodnutí předsednictva.

(3) Valné shromáždění se usnáší většinou hlasujících, hlasy členů jsou stejné.

(4) Členské organizace zastupuje na každém jednání valného shromáždění delegát nebo několik delegátů, ne však více než šest na jednu členskou organizaci.

(5) Valné shromáždění je usnášeníschopné za přítomnosti jedné třetiny řádných členů.

(6) Valné shromáždění si schválí jednací řád.

(7) Jednání valného shromáždění budou oznámena alespoň 5 týdnů před jednáním. Pozvánku rozešle předsednictvo všem členům a uveřejní ji na hlavní stránce webu Pirátské internacionály.

X. Pravomoc valného shromáždění

Valného shromáždění má pravomoc:

  • a) posuzovat postup a standardy pirátského hnutí na celém světě a přijímat opatření, která podpoří účel Pirátské internacionály,
  • b) formulovat obecné zásady Pirátské internacionály,
  • c) rozhodovat o přihlášce k členství a o vyloučení člena,
  • d) volit předsednictvo a jiné výbory,
  • e) posuzovat zprávy a doporučení předložené předsednictvem,
  • f) posuzovat doporučení navržená členskými organizacemi,
  • g) posuzovat navržené dodatky k tomuto statutu,
  • h) vykonávat jiné funkce vyplývající z tohoto statutu.
XI. Hlasování

(1) Každý řádný člen má jeden hlas a valné shromáždění se usnáší prostou většinou členů přítomných nebo zastoupených, kteří hlasují. V případě rovnosti hlasů platí, že návrh nebyl přijat.

(2) Rozhodnutí o přijetí nových členů (oddíl III. odstavec 4), vyloučení členů (oddíl VII, odstavec 2), stanovení ročního členského příspěvku (oddíl XVI, odstavec 1) a o doplňcích tohoto statutu (oddíl XX), vyžadují přijetí dvoutřetinovou většinou hlasů.

(3) Řádný člen, který nemůže být přítomen jednání valného shromáždění, smí za sebe určit členskou organizaci jako svého hlasujícího zástupce, ale žádná členská organizace nesmí zastupovat více než jednoho řádného člena.

(4) Za vhodných podmínek, které stanoví předsednictvo, se mohou řádní členové hlasovat v poštovním referendu, které se koná mezi zasedáními valného shromáždění podle stejných pravidel hlasování, většiny a rovnosti hlasů.

(5) Každý řádný člen, který nezaplatil roční členský příspěvek do konce fiskálního roku, který předcházel jednání valného shromáždění ztrácí hlasovací právo na tomto jednání valného shromáždění, pokud předsednictvo předem neschválilo prominutí nebo odložení platby.

(6) Všechna jednání valného shromáždění musí umožňovat účast na dálku.

Board

XII. Board

(1) Pirate Parties International is managed by the Board, the executive organ. Its Members shall consider the interests of the Pirate Movement as a whole and shall neither consider themselves, nor be considered, as representing any particular Member or non-member Organization or Region.

(2)The Board is composed of:

  • a) two Co-Chairmen,
  • b) one Treasurer,
  • c) three Board members, and
  • d) one Chief Administration Officer

(3) Other positions, including, but not limited to

  • a) Social, Media and Grassroots Officer,
  • b) Translation and News Officer,
  • c) Chief Technical Officer, and
  • d) Ideology Leader

may be created by the Board

(4) The Board is elected by the General Assembly at the regular sessions or if an extraordinary session is requested for that purpose.

XIII. Functions of the Board

(1)The functions of the Board are:

  • a) to act on behalf of the General Assembly between its meetings; to give effect to its decisions, recommendations and policies; and to represent it at international and national events,
  • b) to promote the Pirate Movement throughout the world by means of visits, correspondence, training courses and other appropriate action,
  • c) to advise and assist Member Organizations,
  • d) to recommend the admission of Organizations applying for Membership,
  • e) to prepare the agenda and procedure of the meetings of the General Assembly, giving consideration to suggestions from Member Organizations, and appoint the Chairperson and Vice-Chairperson of the General Assembly meeting,
  • f) to appoint the Secretary General of Pirate Parties International, and to appoint his Deputy or Deputies upon a recommendation of the Secretary General; and to supervise the management of the PPI Headquarters,
  • g) to approve the annual budget and financial statements of the PPI Headquarters,
  • h) to accept the responsibility for the raising of additional funds, and
  • i) to exercise other functions resulting from this Statutes and its By-Laws.

(2)The Board governs its actions according to the decisions of the General Assembly and in spirit of the majority of the programs of the Ordinary Members of Pirate Parties International.

(3)One natural person named by each Ordinary Member not represented in the Board shall be admitted with the right to participate in the Board meetings without the right to vote.

(4)The Board adopts rules of procedure that specify the provisions of internal regulations and voting rules.

(5)One of the Co-Chairmen or the Chief Administrative Officer convenes, opens, suspends, and closes the sessions and meetings and presides over them to ensure the observance of procedure, communicates the points of concern, and informs the Board about absences. In the absence of one of the Co-Chairmen or the Chief Administrative Officer another member of the Board can be delegated to perform all his functions.

(6) The Board must meet regularly and not less than once a month. The form of the meeting is free.

(7) The meetings are public unless one third of the members of the Board vote in favor of a non-public meeting. The decision to hold a secret meeting must be motivated. Minutes of public meetings have to be published not less than two weeks after the meeting. The Board has to inform the General Assembly on its next meeting on the fact of non-public meetings.

(8) A Board member may resign at any moment. In case of vacancy a substitute may be appointed by the Board until the next General Assembly. If the position of both Co-Chairmen or the Chief Administrative Officer is vacant, an extraordinary session of the General Assembly has to be held within the next six (6) months. Vacancies among other elected members of the Board shall be filled for the remainder of the term still to be served by the resigning or deceased holder of the seat by the runners-up in order of election, at the election in which the resigning or deceased member was elected.

PPI Headquarters

XIV. PPI Headquarters

(1) PPI Headquarters shall be incorporated in accordance with the law of the country in which its international headquarters are located in order to enjoy the status of a juristic person. It should be a non profit organization.

(2) The PPI Headquarters shall serve as the Secretariat of Pirate Parties International. It shall comprise the Secretary General of the Pirate Parties International and such staff as the Organization may require. The Secretary General shall be appointed by the Board and shall be the chief administrative officer of Pirate Parties International.

(3) The PPI Headquarters shall consist of its international headquarters and any regional offices.

(4) The PPI Headquarters shall be responsible for all administrative and financial matters, and shall report on them and present them for confirmation to the Board at least once a year.

Finance

XV. Funding

Pirate Parties International expenditure shall be covered by:

  • a) affiliation fees from the Ordinary Members parties and those with Observer status,
  • b) donations, or
  • c) other legal contributions.
XVI. Affiliation Fees

(1) The amount of the fee is determined annually by the General Assembly.

(2) The affiliation fees and contributions shall be fixed in relation to the finances and membership of parties.

XVII. Treasurer

(1) The Treasurer, in agreement with the Board, drafts the budget and the financial procedure, which must then be approved by the General Assembly.

(2) The Treasurer supervises the Pirate Parties International budget and reports to the Board every three months.

(3) The Board is responsible for the sound financial management of Pirate Parties International.

XVIII. Borrowing Powers

(1) Those officials empowered to operate the bank accounts of Pirate Parties International have the authority to borrow money as follows:

  • a) Up to ten percent of the annual budget needs the approval the Secretary General.
  • b) Over ten percent of the annual budget needs the approval of three quarters of the Board.
XIX. Lay Auditors

Three lay auditors shall be appointed by the General Assembly to inspect the accounts of Pirate Parties International on a yearly basis.

Amendments

XX. Amendments

(1) This Statutes can only be amended by a vote of at least two thirds of the total Members of the General Assembly, on a regular or extraordinary meeting.

(2) The amendments can be proposed by any Member of Pirate Parties International at least four weeks before the meeting of the General Assembly in writing to the Board. The Board will send out the proposals to all Members at least one week before the meeting of the General Assembly.

XXI. Liquidation

(1) The organization can only be dissolved by a vote of at least two thirds of the total Members of the General Assembly, on an extraordinary meeting called for this purpose only.

(2)In the event of the liquidation of Pirate Parties International, after the settlement of contractual obligations to staff and other obligations, the remaining financial means shall be transferred to an NGO that is acting in the spirit of the the principles of Pirate Parties International as defined by the Statutes.
